SECTION 1

APPLICATION

The following Terms and Conditions are to provide structure and security to both Modus Film and their clients.

The following Terms and Conditions apply to the provision of any and all services by Modus Film Productions to their clients.

By commissioning Modus Film Productions for any service, clients are agreeing to all Modus Film Production’s terms and conditions in full as set out below.

SECTION 2

DEFINITIONS AND INTERPRETATION

In these Terms and Conditions, the following expressions mean the following:

2.1 

“Business Day”/”Business Days”/”Working Days”

A day (excluding Saturdays) on which banks are generally open for normal banking business to the public in the UK. These days are typically Monday-Friday with the exception of bank and other public holidays.

“The Company”/”Modus”

Modus Film Productions

2.3 

“Client”

The individual, firm, organisation or corporation who purchases services from or has services carried out for them by Modus Film Productions.

2.4 

“Commencement Date”

The date on which the Client agrees to hire the services of Modus Film Productions.

2.5 

“Service”/”Services”

The service or services provided or to be provided by Modus Film Productions.

“Company Location”

2.6 

“Payment Terms”/”Terms of Payment”

The terms of payment of fees as set out in section 4 of the Terms and Conditions.

2.7 

“Agreed Amendments”

Refers to the agreed changes that Modus Film Productions will make to a client’s film as agreed in the film brief at no additional cost to the client.

2.8 

“Amendments”/”Additional Amendments”

Refers to the changes that Modus Film Productions have to make to a client’s film in addition to any and all those already agreed in the film brief. Additional amendments to a film incur a cost unless expressly stated in writing by Modus Film Productions.

2.9 

“Proposal”/”Project Proposal”

Before commencing any services, Modus Film Productions will issue a Project Proposal, detailing Modus Film Production’s proposed services and corresponding costs. A proposal can be verbal, written in the form of email, document, letter or another electronic format such as a Qwilr or a website page.

2.10 

“Engagement Day”

A day on which the physical presence of Modus Film Productions is required to provide agreed services to the Client, including but not limited to: shoot days, travel days, recce days, lighting/staging days.

SECTION 3

THE SERVICES

3.1

Subject to receipt of required payments, Modus Film Productions shall provide the services to the client as agreed in the Project Overview from the Commencement Date.

3.2

Modus Film Productions will issue a Proposal before commencing any services. The proposal is an estimation of required services and costs and while often accurate, should not be taken as a final quote for a project.

3.3

Should the scope of the project change, or for any other reason Modus Film Production’s proposed services should be adjusted, a new quote shall be issued before any additional services outside of those previously agreed are undertaken.

3.4

After the quotation and Proposal has been agreed, Modus Film Productions will begin chargeable work on the project. Modus Film Productions may require a deposit or first-installment, or a payment for new or amended jobs before any services are carried out. Should this be the case, it will be outlined in the Proposal or quotation.

3.5

Modus Film Productions will to the best of their ability, make all reasonable efforts to complete its obligations within the agreed timelines. To ensure Modus Film Productions are able to provide services in the agreed time-frames, clients must provide all required materials and resources needed by Modus Film Productions before or at the commencement of the project, and must provide the required resources as requested by Modus Film Productions.

3.6

Should the client fail to provide the necessary resources as stated either verbally or in writing as required, any resulting delays in providing the agreed services by Modus Film Productions are not deemed the fault of Modus Film Productions.

3.7

Cancellation, or delay of a project after the Commencement Date may result in the Client incurring a fee as covered in Section 5 of the Terms and Conditions.

3.8

Modus Film Productions reserve the right to withdraw from any project, product, service or agreement at any time. In any case, Modus Film Productions will make all reasonable attempts to offer the client alternative or substitute services or products, or assist in any other reasonable way as deemed fit by Modus Film Productions.

3.9

Hiring of Modus Film Production’s UAV (or Drone) services will be subject to current UK laws. The Company will only supply and allow usage of UAVs on engagement days by fully qualified, registered pilots. Full documentation for safe, legal usage will be completed in accordance with UK laws. Licences will be supplied to The Client upon request.

In the event that The Company is unable to complete UAV services due to acts beyond reasonable control i.e. weather, geographical location or system faults The Company will not charge. In cases where pre-payments have been made The Company will refund all charges to The Client within 30 days following the Engagement Day and/ or seek to confirm additional engagement dates.

SECTION 4

PAYMENTS

4.1

All payments, unless expressly indicated otherwise in writing by Modus Film Productions are to be paid in Pounds Sterling (Great British Pounds) (GBP) by bank transfer.

4.2

Unless expressly permitted by Modus Film Productions in writing, all payments are to be made within 14 days of the issue date of the relevant invoice.

4.3

All stage payments to be charged to the client will be detailed in the Proposal or quotation, and are accepted and agreed upon by the client and Modus Film Productions by way of Client’s acceptance of said Proposal or quotation.

4.4

Modus Film Productions reserve the right to delay, withdraw from or withhold any services or products offered if payment is not received within 14 days of the relevant invoice issue date as stated in section 4.1 of the Terms and Conditions.

4.5

Should Modus Film Productions suspend, withdraw or withhold any services or products due to unpaid fees by the Client or late payment by the Client, Modus Film Productions are not liable for any inconveniences or losses to the client in any form as a result of the suspension, withdrawal or withholding of said products or services.

SECTION 5

CANCELLATION, AMENDMENTS AND VARIATION

5.1

Should the Client wish to make any change to the project, they must notify Modus Film Productions in writing as soon as possible. Modus Film Productions will take all reasonable steps to accommodate the changes. Should any changes result in the Client incurring additional costs to the discretion of Modus Film Productions, any additional costs will be included in a new quotation or Proposal as outlined in the Terms and Conditions section 3.3. Should the additional charges be required by Modus Film Productions prior to the commencement of the amended services, payment must be made to accommodate the changes before Modus Film Productions continues work as outlined in the Terms and Conditions section 3.4. Otherwise, any additional charges will be invoiced at a later stage in the project, or upon project completion.

5.2

Should the Client wish to cancel a project, any costs incurred up to the time of cancellation by Modus Film Productions will be chargeable to the Client.

5.3

Should the client wish to cancel or change an Engagement Day, as much notice as possible is expected to be given by the Client. Should notice of cancellation or change of an Engagement Day be 8 days or greater, unless Modus Film Productions incurred costs relating to the Engagement Day, no additional fee will be charged to the Client.

Should the client give 7 or less days’ notice of cancellation or change of an Engagement Day, up to 50% of the project costs to be charged to the client relating to that day may be charged at the discretion of Modus Film Productions.

If a cancelation is made within 24 hours prior to an Engagement Day at the decision of The Client, Modus Film Productions will charge The Client any filming service-related fees that fall on the Engagemnet Day within the following 24 hour period from cancelation. This will not apply to any Engagement Day outside of the 24-hour period. Charges will remain at the discretion of Modus Film Productions.

5.4

In the event of circumstances beyond Modus Film Production’s control requiring cancellation or change to any Engagement Day or in relation to the provision of any services or products, Modus Film Productions will notify the Client immediately.

5.5

Expenses included in quotations, emails, verbal agreements or discussions, proposals or other documents with exception of Invoices and Invoice Statements should be considered a guideline quote. Expenses can vary depending on the job and other circumstances and factors. Modus Film Productions will always strive to ensure the brief is fulfilled, should this affect the Proposal quote or other agreed quotations, Modus Film Productions will notify the Client.

In some cases, including current location, notice of additional expenses may be on a limited time frame. Modus Film Productions will always work towards the brief to deliver exactly what the Client wants. If fulfillment of the brief requires exceeding agreed budgets or quotes, Modus Film Productions will in all situations where possible inform the Client, however, if circumstances do not reasonably permit it, Modus Film Productions will not require authorisation of additional expenses up to the value of £250 should the exclusion of the additional expenditure be detrimental to the project at Modus Film production’s discretion.

5.6

Any licensed audio or music, any animation, effects or other additional services Modus Film Productions purchase as agreed on behalf of the Client will be charged, regardless of if they are used in the final films.

5.7

Any and all audio and music licensing is the responsibility of the Client, and Modus Film Productions take no responsibility in arranging licensing unless agreed in the Proposal or other written agreed communication.

EDIT AMENDMENTS 

5.8

All projects will be subject to a specified number of amendments as listed in the Quote and Agreement Document. All amendments must be sent in writing and submitted with sign off intent. Amendments will be referred to as amendment rounds. 

5.9

Round 1 amendments include the following:

  1. Structural changes to the edit(s) including repositioning of audio and visuals. 
  2. Text changes.
  3. Music changes.
  4. Changes to any images and audio.
  5. Branding changes.

 

5.10

Round 2 amendments include the following:

  1. Adjustments of audio in relation to duration and cutting only, no repositioning.
  2. Changes to visual image placements.
  3. Text modifications and repositioning. 

 

EDIT AMENDMENT CHARGES

5.11

Amendments outside of the specified rounds will incur additional charges billed at £50.00 plus VAT per hour. The Client will be informed of charges prior to any further amendment rounds being completed. 

 SECTION 6

TERMINATION

Modus Film Productions may terminate agreements immediately if:

6.1

The Client is in breach of any of their obligations as outlined in the Terms and Conditions sections 6 and 7;

6.2

The Client has entered into liquidation, other than for purposes of corporate amalgamation or reconstruction, whether compulsory or voluntarily or compounds with the Client’s creditors generally or has an administrator, administrative receiver or receiver appointed over all or a substantial part of their undertakings or assets;

6.3

The Client has become bankrupt or shall be deemed unable to pay their debts as outlined in Section 123 of the Insolvency act of 1986.

6.4

In the event of termination, Modus Film Productions will retain any and all sums already paid to it by the Client.

SECTION 7

INTELLECTUAL PROPERTY, LIABILITY AND RESPONSIBILITY

7.1

Modus Film Production will be held liable for any liability stemming from the unauthorised use of copyrighted material or registered trademarks, be it criminal or civil. If copyrighted material or registered trademarks are supplied by The Client is the Client’s responsibility to ensure that all assets to be used do not infringe on any intellectual property or any other rights. In this instance, The Client will be held liable.

7.2

Modus Film Productions will not be held liable for any damages resulting from loss of profit, revenue, contracts or any similar direct loss resulting from any work provided by Modus Film Productions, as all services and films are deemed satisfactory once signed off by the Client.

7.3

Modus Film Productions will not be held liable for any damages resulting from loss of profit, revenue, contracts or similar direct loss resulting from any delay in services or finished products provided by Modus Film Productions.

7.4

Modus Film Productions gives the Client all and full rights to any edited film upon completion and after Modus Film Productions has received full payment for the project. Modus Film Productions retains the rights of all original footage, and is permitted to use the footage in any way, in any project for profit or otherwise.

7.4.1 

Unless agreed prior to commencement of a project or unless requested within 7 days following sign off on a completed project The Company may require an additional transer fee to deliver RAW data files to The Client.

7.5

Modus Film Productions may use all captured footage, edited or otherwise as promotional and marketing material for itself as it sees fit.

7.6

Modus Film Productions will accredit any product as it sees fit unless as agreed otherwise with the Client.

7.7

Both parties shall and must indemnify in full against all damages, costs, claims and expenses suffered by The Client or The Company or other parties where applicable stemming from loss or damage of any asset, physical or otherwise, directly or indirectly due to provision of contaminated or corrupted files.

7.8

The Client confirms permission for Modus Film Productions Ltd to associate your name and/ or your business name with Modus Film Productions. Approval will be sought for use of any images, logos or biographical details as supplied by The Client, where relevant. The Company will not infringe on any copyright nor portray The Client or any parties associated with The Client in any negative representations. Modus Film Productions Ltd reserves the right to use any finished products for their own marketing/ branding material.

SECTION 8

INSURANCE

Liability Insurance covers Modus Film Productions Ltd up to the value of £5,000,000 (five million pounds sterling) for any claim or series of related claims, with no limit on the number of claims during the contract period. Evidence of this cover can be provided at The Client’s request.

In the event The Client should claim that the contract has been breached or not fulfilled by The Company or any of their Clients, Venues or other Sub contractors in any way then regardless of the nature of the breach or dispute, the amount claimed by The Client from The Company including any and all damages shall be limited to a maximum amount not in excess of the fees payable on this agreement. Should the Client wish to make a claim in respect of any matter arising from this agreement such claim must be made in writing to Modus Film Productions Limited within seven days of the engagement date. Claims received after this date period will not be considered.

SECTION 9

FORCE MAJEURE

Neither the client nor Modus Film Productions shall be liable for any failure or delay in performing their obligations under these Terms and Conditions where such failure or delay results from any cause that is beyond the reasonable control of that Party. Such causes include, but are not limited to: power failure, Internet Service Provider failure, industrial action, civil unrest, fire, flood, storms, earthquakes, acts of terrorism, acts of war, governmental action or any other event that is beyond the control of the Party in question.

SECTION 10

SEVERANCE

The Parties agree that, in the event that one or more of the provisions of these Terms and Conditions are found to be unlawful, invalid or otherwise unenforceable, that those provisions shall be deemed severed from the remainder of these Terms and Conditions. The remainder of these Terms and Conditions shall be valid and enforceable.

SECTION 11

MODUS WEDDING FILMS

  1. Deposit

The Company requires an upfront deposit of £500.00 for any Wedding Videography package. This amount is non-negotiable and must be paid within 14 days of confirmation in the form of an agreement signature. Deposits are non-refundable. Cleared payment of a deposit will reserve an agreed wedding date indefinitely; validating The Company Insurances i) Public Liability ii) Professional Indemnity.

  1. Agreement Contract

Agreement contracts will obligate The Company to carry out all the services listed therein. Under no circumstances can The Company fail to carry out its service duties unless requested to by The Client or in instances where it is deemed not possible to carry out any work or associated work.

  1. Flexible Payment Terms

Flexible payments on remaining balances will incur no additional charge. Payment dates and schedules will be pre-arranged by The Company and a suitable repayment plan will be actioned. All payments will be requested by an invoice with Company Headed branding. It is the responsibility of The Client not to pay any unauthorised or fraudulent parties. The Company cannot be held responsible for any misplaced or error payments. All invoices will be sent via a registered Modus Film email address ending @modusfilm.com and no other email providers.

  1. Cancelation

The Client will be the only party to cancel, postpone or request changes on an agreed Wedding date. The Company may cancel in the event work cannot be fulfilled due to safety or failure of The Client to complete payments. If the Client decides to cancel any pre-agreed wedding date no refunds will be given by The Supplier on any pre-paid invoices.

4.1 On the occasion an agreed wedding date is to be postponed for reasons beyond the control of The Client due to natural incidents, government restrictions or other third parties. It is the responsibility of The Supplier and The Client to mutually agree on any new date changes. The Supplier will be contractually obligated to carry out work on any new date changes and to accommodate the need to carry out work over additional days if necessary. 

  1. On and Off-Peak Service Terms

On-Peak services will be billed at an additional £250.00 charge to cover additional works within the hours of workable daylight. On-Peak services run from May 30th to September 1st. Negotiations may be made to reduce costs, decisions to alter costs remain with The Company at all times. The Client will be made aware of any additional costs. Price increases will be made at the approval of The Client.

  1. Delivery of material

Expected final products will be outlined within the service agreement. It is the responsibility of The Client to approve deliverables before the agreed engagement date. All final videos produced from a Modus Wedding package will be delivered within 30 working days following an engagement date. The Company may produce final deliverables earlier than this subject to availability. In most cases, The Company promises to deliver all material in a time effective manner.

6.1. Video files will be hosted online at www.vimeo.com. Vimeo terms can be read by visiting https://vimeo.com/terms.

6.2. All our films will be available online on our Vimeo channel via a private and downloadable link and will stay online forever.

6.3. The Company will store all offline video files on a secure Google Drive system. This system will be the responsibility/ property of Modus Film Productions Ltd.

6.4. Loss/ Damage of property; The Company is responsible for guaranteeing all video files are saved/ stored to minimise loss or damage of videos.

6.5.  The Company will remain GDPR compliant at all times during the storage life of The Clients videos.

  1. Social Media & Material Rights

In accordance with Section 7 of The Company Terms, The Company is able to use all material for any or all marketing purposes so long as this does not misrepresent The Client or any other associated parties in any negative way. Permission will always be asked regardless during pre-wedding meetings for material to be shared publicly. Material which could endanger or result in legal proceedings will never be used and must be made aware to The Company by The Client before any engagement dates.

  1. Refund Policy

All deposits are non-refundable unless requested within 14 days of cleared payment under the law of Great Britain and Northern Island. Following the 14 days cooling off period no refunds will be issued. Any additional payments made to The Supplier as part of a flexible payment plan will also constitute as non-refundable and will be exempt from the 14-day refund policy. The Supplier may offer credit to The Client. Discretion will remain with The Supplier.

SECTION 12

DRONES

  1. Licence

Modus Film Productions are committed to the highest safety standards for drone use and have held the CAA (Civil Aviation Authority) Permission for Commercial Operation (PfCO) since 2018. We work closely with the CAA in order to achieve the highest standards in safety and our licence is legally reviewed and renewed annually.

  1. Safety

Our safety processes are continuously monitored and improved to ensure Modus Film Productions meet all current legislation and standards ahead of any project commencement and all operations are fully risk assessed.

  1. Insurance

Modus Film Productions holds all necessary insurances for conducting drone film and photography including up to £10 million public liability.

  1. Copyright

Unless contractually agreed prior to the commencement of your project Modus Film Productions will retain copyright of all film and photography content. The client is granted full use of all footage captured for the commissioned project, however, the client cannot resell footage or grant 3rd party companies to use the footage without prior permission. Modus Film Productions reserves the right to use any of the content gathered for promotional material. Modus Film Productions reserves the right to upload footage to stock libraries after the footage has been released to the client.

  1. Conditions

Due to the nature of drone flight being governed by the weather, NOTAMS and temporary flight restrictions, sometimes flights have to be rescheduled. We monitor all these variables ahead of your project and on the day to ensure safe flying conditions.

5.1. Wind

Modus Film Productions’ drone can operate safely in up to 25mph winds.

5.2. Rain

The drone is able to fly in light rain; however, the lens collects water extremely quickly; so the imagery captured isn’t fit for purpose.

  1. Cities

Modus Film Productions can fly in big Cities, including London. Some areas have restrictions and an application process for drone operations has to be sought and we work with the local councils to ensure additional safety measures are adhered to. The application process often requires up to 6-8 weeks lead time, so planning is essential and we will work with you to find the best solution.

  1. Locations

As well as flying outside, our drones are also capable of flying inside, particularly enjoying warehouse projects and will adhere to the appropriate Health and Safety At Work regulations.

  1. Duration

Each drone battery lasts up to 30 minutes before it needs to be changed. We come equipped with lots of batteries and portable charging so we can continuously fly.

  1. Height

The legal obligation for flight is a maximum height of 400ft (120m) and the drone is to be kept within line of sight.

  1. Distance

Modus Film Productions are governed by CAA Regulation which states that the drone must be within 500 metres (1km flying zone) from the operator horizontally and is to be kept in line of sight.

  1. Output

Modus Film Productions shoot all stills in RAW and provide high resolution edited JPEGS for the client’s use. All film is shot in 4K and edited footage is provided to the client as MP4 files and 1080p full HD file size. All data is sent via download link.
